This website at morningcrestprotocol.com (the “Site”) is operated by MorningCrest Solutions, a company organised in the United States and trading as Morningcrest Protocol (“we”, “us”, “our”). You can contact us at james@morningcrestprotocol.com.

1. Acceptance

By accessing the Site you agree to these Terms. If you do not agree, do not use the Site.

2. Information only

Everything on the Site, including sector pages, case records and research, is general commercial information. It is not investment, legal, tax, accounting, customs, employment, immigration or trade-compliance advice, and it must not be relied on as such. You should obtain independent professional advice before acting on anything you read here. We make no representation or warranty that the information is accurate, complete or current.

3. What we are and what we are not

We provide commercial research and introductions. We are not an importer, exporter, distributor, customs broker, freight forwarder, staffing or employment agency, oilfield service contractor, commodity trader or dealer, investment adviser, broker-dealer, finder for securities purposes, insurance producer, attorney or accountant. We do not buy, sell, hold, ship, insure or take title to goods; we do not negotiate or execute contracts on any party’s behalf; we are not an agent of any introduced party; and we take no part in any transaction that follows an introduction. Any contract arising after an introduction is solely between the introduced parties.

4. Fees

Our fees are flat and agreed in writing before any introduction is made. Where both sides of an introduction engage us, each is told so in writing. We do not take an undisclosed share, commission, success fee or other interest in any underlying transaction.

5. Case records and results

Engagements described on the Site are published with the consent of the clients named, and some were delivered with our partner myoProcess and are published with their permission. Figures are as reported by the clients concerned and have not been independently audited. They describe specific past engagements. They are not a representation, prediction or guarantee that any other engagement will produce similar results.

6. Replacement guarantee

Our replacement guarantee is limited to counterparty verification. If an introduced principal materially deviates from the credentials, capacity or operational specifications we verified, we will replace that introduction at no additional charge. We do not guarantee that any introduction results in a contract, an award, a placement, a purchase order, a shipment or revenue of any kind.

7. Confidentiality

Information shared with us in the course of an enquiry or engagement is treated as confidential and is not disclosed to a counterparty without permission. Where a sector or a transaction requires it, a separate non-circumvention and non-disclosure agreement is signed before identities are exchanged.

8. Sanctions and lawful dealing

We do not knowingly facilitate any introduction or transaction that would breach applicable sanctions, export control, anti-bribery or anti-money-laundering laws. You represent that you are not subject to such restrictions and that your dealings arising from any introduction will comply with all applicable law.

9. Language and translation

Parts of the Site can be displayed in other languages by machine translation for convenience. The English text is the only authoritative version, and these Terms, the Privacy Notice and all other legal pages are published in English only.

10. Intellectual property

The Site and its content belong to MorningCrest Solutions or its licensors. Third-party names and marks are the property of their respective owners and are used only to describe completed engagements. You may quote short extracts with attribution and a link; you may not otherwise reproduce, republish or exploit the content without our written permission.

11. Acceptable use

You must not use the Site unlawfully, attempt to gain unauthorised access to it, interfere with its operation, or harvest data from it by automated means.

12. Third-party links

Links to third-party sites are provided for reference. We do not control them and are not responsible for their content, products or privacy practices.

13. Disclaimers and limitation of liability

The Site is provided “as is” and “as available”, without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement, to the fullest extent permitted by law. To the fullest extent permitted by law, we are not liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, revenue, data, goodwill or business opportunity, arising from your use of the Site or reliance on its content. Our total aggregate liability arising out of or relating to the Site is limited to one hundred US dollars (US$100). Liability arising from an engagement is governed by the written agreement for that engagement. Nothing in these Terms excludes liability that cannot lawfully be excluded, including for fraud or fraudulent misrepresentation.

14. Indemnity

You agree to indemnify us against claims, losses and reasonable costs arising from your breach of these Terms or your misuse of the Site.

15. Governing law

These Terms and any dispute arising from them are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules, and the state and federal courts located in Delaware have exclusive jurisdiction. If you are a consumer resident elsewhere, this does not deprive you of the protection of mandatory provisions of your local law.

16. General

If any provision is held unenforceable, the remainder continues in force. Our failure to enforce a provision is not a waiver of it. These Terms are the entire agreement between us regarding the Site.

17. Changes
